Terms of Service

What you're agreeing to
These Terms of Service govern your relationship with LogFlow Consulting. In short: we provide expert services to improve your data observability and operations, and you pay us for our time and expertise. We retain ownership of the custom code and architecture we build for you, while you retain ownership of your data and existing infrastructure. We do our best to deliver quality work, but we cannot guarantee specific outcomes for your business performance.
Please read these terms carefully. If you disagree with any part, do not proceed with an engagement.
What we actually do
Our consultancy engagements generally fall into three categories. Scope is defined per project via a Statement of Work (SOW).
Audit & Strategy
Analysis of current log pipelines, identification of technical debt, and architectural recommendations. This phase does not include code implementation.
Implementation
Hands-on development of monitoring stacks, alerting rules, and data pipelines. Includes writing custom scripts, modifying infrastructure as code, and configuring tools.
Knowledge Transfer
Workshops, documentation, and training sessions designed to upskill your internal engineering team and ensure long-term operational independence.
Ongoing Support
Retainer-based hours for troubleshooting, optimization, and minor feature additions after the initial implementation sprint.
Fees and billing
We operate primarily on a Time and Materials basis for implementation engagements and Fixed Price for scoped strategy work.
Invoicing Terms: Invoices are issued monthly (for retainers) or upon completion of milestones (for fixed-price projects). All invoices are due within 30 days of the invoice date. Payments are made via wire transfer or company credit card processed through our secure payment gateway.
Late Fees: Should any payment remain unpaid after the 30-day due date, a late fee of 1.5% per month (or the maximum permitted by applicable law) will be applied to the outstanding balance. Continued non-payment after 60 days may result in the immediate suspension of services and/or legal action to recover costs.
Who owns what?
Client Deliverables: You retain full ownership of all data, existing infrastructure, third-party software licenses, and proprietary information you provide to us.
LogFlow Deliverables: We retain all intellectual property rights, title, and interest in the custom code, architecture diagrams, documentation, and specific tools or configurations we build for you during the engagement. This includes any modifications or improvements made to your existing open-source tools.
Keeping secrets safe
Both parties agree to maintain the confidentiality of any Confidential Information disclosed during the course of the engagement. Confidential Information includes technical logs, proprietary algorithms, source code, business strategies, and client data.
This obligation survives the termination of the agreement. We will not disclose your confidential information to third parties except as required by law, court order, or to perform the services under this agreement. Our employees and contractors who have a need to know will also be bound by confidentiality agreements.
Our responsibility
To the fullest extent permitted by law, LogFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or revenue.
Indemnification: You agree to indemnify and hold harmless LogFlow from any claims arising out of your use of the services, your violation of these terms, or your violation of any third-party rights resulting from the services provided.
Governing Law & Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York (or the United Kingdom, as applicable to your location), without regard to its conflict of law principles.
Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in New York, New York. You and LogFlow hereby waive any right to a trial by jury and agree to receive service of process by registered mail.
Amendments and notices
LogFlow reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page or via email to the primary contact on file. Your continued use of our services after the effective date of such changes constitutes your acceptance of the new Terms.
